1. Acceptance of Terms & Commercial Scope
These Terms & Conditions constitute a binding legal contract between your organization ("Enterprise Customer" or "Client") and Roboticality Autonomous Systems Inc. ("Roboticality", "we", "us"). These terms govern all transactions involving:
- Priority manufacturing allocation and reservations for the Aura-1 Humanoid, Aura-Core intelligence compute packs, and related chassis.
- Proprietary embedded firmware, real-time operating systems (RTOS), and neural reflex arc calibration packages.
- Telemetry portals, diagnostics consoles, field engineering support, and ongoing lifecycle maintenance.
2. Operational Safety Guardrails & Biological Non-Harm
Aura series robots feature high-torque actuators and rapid physical agency. As a fundamental condition of license and physical possession, Enterprise Customers agree to enforce the following mandatory safety protocols:
- Zero Harm Mandate: The client shall never bypass, disable, tamper with, or override the low-level hardware safety interlocks, dynamic torque limiters, or emergency optical halt systems.
- Designated Work Envelopes: Operations involving dynamic gait speeds exceeding 12 km/h or payload handling exceeding 25 kg must occur within approved industrial geofenced zones with adequate perimeter telemetry sensors.
- Certified Supervisor Protocol: Deployed fleets must be supervised by personnel certified under the Roboticality Autonomous Operator Safety Program.
- Prohibited Uses: Roboticality hardware and firmware must never be modified or deployed for weaponized, lethal, or hostile operations. Any such modification immediately voids all warranties and triggers automatic cryptographic deactivation.
3. Enterprise Reservations & Fleet Allocation
Production cycles for Aura-1 humanoid platforms are managed through allocated manufacturing batches:
- Deposit Terms: Reservation deposits submitted via our web portal are credited toward the final unit purchase or lease agreement upon contract finalization.
- Facility Validation: Delivery of units is contingent upon successful site inspection and verification of electrical charging infrastructure (400V 3-phase rapid charging dock).
- Allocation Timelines: Estimated delivery quarters are industrial manufacturing forecasts and may be subject to supply-chain calibration. Priority is assigned in order of reservation timestamp.
4. Firmware License & Intellectual Property
The physical robotic chassis is sold or leased to the client, while all software, neural network weights, kinematic gait algorithms, and embedded microcode remain the exclusive intellectual property of Roboticality:
- Clients receive a non-exclusive, non-transferable, revocable license to execute embedded firmware on authorized units solely for legitimate enterprise operations.
- Reverse engineering, decompilation, memory disassembly, extraction of neural model weights, or cloning of harmonic actuator controllers is strictly prohibited.
- All patent, trademark, and trade secret protections covering Roboticality bionics and spatial algorithms remain fully reserved.
5. Maintenance, Telemetry & Actuator Diagnostics
To maintain warranty validity and high operational uptime, units require periodic diagnostic evaluation:
- Connected units continuously verify actuator backlash, harmonic gear wear, and thermal variance metrics.
- Scheduled overhaul cycles occur at 5,000 operational hours and must be performed by Roboticality-certified robotics technicians.
- For air-gapped deployments, clients must export and provide encrypted periodic diagnostics logs to maintain active component warranty status.
6. Limited Warranty & Factory Certifications
Roboticality warrants that each unit arrives free from manufacturing defects in structural alloys, titanium joint assemblies, and neural compute hardware for a period of twenty-four (24) months from factory sign-off:
- Warranty covers replacement of defective harmonic actuators, sensor arrays, and battery cells exhibiting abnormal early degradation (>20% within 1,000 cycles).
- Warranty explicitly excludes damage resulting from unauthorized structural alterations, immersion beyond rated IP67 tolerances, collision caused by disabled safety envelopes, or operation outside specified ambient temperature ranges (-20°C to +50°C).
7. Limitation of Liability
To the maximum extent permitted by applicable commercial law:
- In no event shall Roboticality be liable for indirect, incidental, punitive, or consequential damages, including loss of facility production, operational downtime, or third-party business interruption.
- Roboticality's total aggregate liability arising out of or related to these terms or the robotic hardware shall not exceed the total fees paid by the client for the specific affected unit during the twelve (12) months preceding the incident.
8. Termination & Cryptographic Deactivation
Roboticality reserves the right to immediately suspend telemetry services and revoke hardware cryptographic access tokens if:
- The client materially breaches safety protocols or attempts to weaponize robotic units.
- The client attempts unauthorized intellectual property extraction or firmware tampering.
- In the event of uncured payment default or insolvency following thirty (30) days written notice.
9. Governing Law & Dispute Resolution
These Terms shall be construed, interpreted, and governed under the laws of Delaware, without regard to conflicts of law principles. Any controversy or claim arising out of or relating to these terms shall be resolved through confidential, binding commercial arbitration under the rules of the American Arbitration Association (AAA).
